with which all deeds, diplomas, certificates, and acts of the said corporation shall pass and be authenticated, and the same seal at their pleasure to break and alter, and devise a new

one.

First meeting.

SEC. 7. That the said trustees, or nine of them, which number shall be necessary to constitute a quorum, shall hold their first meeting at Mt. Pleasant, at the call of the person first named herein as trustee, or, in case of his neglect, or refusal to act, the next named, for the purpose of concerting and agreeing to such measures as, in consequence of this act, shall be proper to be laid before them at the commencement of the work they have undertaken, and shall have power to adjourn from time to time as they shall see cause, to any other time and places, for the purpose of perfecting the same; and there shall be a meeting of the said trustees held once in every Annual meeting year, at least, in the town of Mt. Pleasant, at such a time as the said board of trustees shall appoint, of which notice shall be given, either by public advertisement, published in some convenient newspaper, printed in the county, or by notice signed by the president or secretary of the board, and sent to said trustees through the medium of the post-office, or otherwise, at least ten days before the time of such intended meeting; and if at such meeting a quorum shall not be present, those of them who shall be present shall have power to adjourn to any other day, as fully and effectually as if the whole number of trustees for the time being were present. Besides the regular annual meetings, quarterly or semi-annual meetings may be held, as the board may direct, to be convened by public notice as above mentioned; and the president may call a meeting at any time the interest of the institution may demand it; and it shall be his duty to do so at the written request of any nine members of the board.

SEC. 8. and professors of said institution, of agreeing with them for Professors, sala- their salaries and stipends, and removing them for misconduct, breaches of the ordinances of the institution, or other causes which shall be deemed sufficient; of appointing committees of their own body to carry into execution every and all resolutions of the board; of appointing president, vice-president, secretary, treasurer, and other officers, whom they may find necessary for managing the concerns of the institution or corporation, and of taking any such measures as they may think proper in regard to the endowments of said university, and in general shall determine all matters and things (although the same are not herein particularly mentioned) which occasionally may arise and be incidentally necessary to be determined by the said trustees: Provided, that no ordinance shall be of force which shall be repugnant to the constitution or laws of the United States, or of the organic act or laws of this Territory, or State, when it shall have become such.

SEC. 9. That the trustees of the university herein before mentioned, shall be divided into three classes of five each, as the board may determine as to which five shall go out of office the first, second and third annual commencement; the first class to go out of office on the day of the first annual commencement of the university, the second class on the day of the second annual commencement, the third class on the day of the third annual commencement; and in the same manner for ever afterwards. so that one-third of the whole number shall go out of office annually: Provided, however, that the members of said board shall continue to hold their office until their successors shall be appointed and qualified: Provided, that the governor of the territory of Kansas and the superintendent of common schools, and, when said territory shall have become a state, the governor of said state and state superintendent of common schools, shall be ex-officio members of the board of trustees.

SEC. 10. That the principal and professors of said university, or a majority of them, for the time being, shall constitute the faculty of the university, which faculty shall have the power, and it shall be their duty, to enforce the rules and regulations adopted by the trustees for the government and tuition of the students, and to grant and confirm, by the order and direction of the board of trustees, such degrees in the liberal arts and sciences, in medicine, law, and theology, or

any other branches thereof, to such students of the university, or others, who, by their proficiency in learning or other meritorious distinction, they shall think entitled to them, as have been usually granted in other colleges or universities, or which the said trustees, or a board thereof, shall deem right and proper; and to grant to such graduates diplomas or certificates under their common seal, to authenticate and perpetuate the memory of such graduation.

SEC. 11. That persons of every religious denomination or sentiment shall be capable of being elected trustees, and no person, either principal, professor, or trustee, tutor or pupil, shall be refused admittance into said university, or denied any of the privileges, immunities or advantages thereof for or on account of their sentiments in matters of religion.

SEC. 12. That the board of trustees of said university is Female teachers authorized by this act to receive females as teachers or pupils in the literary and scientific departments of instruction. That this act is hereby declared to be a public act; and it shall be construed liberally for every beneficial construed.' purpose hereby intended, and an omission to use any of the privileges hereby granted, shall cause a forfeiture of the same; and no misnomer of the said corporation shall defeat or annul any gift, grant, devise or bequest, to or from the said corporation: Provided, the intent of the parties shall sufficiently ap pear upon the face of the gift, grant, will, or other writing, whereby any estate or interest was intended to be conveyed to or from said corporation.

SEC. 14. That before entering upon the discharge of the duties of his office, the treasurer shall give bond and security give bond. for the faithful discharge of his duties, the sufficiency of his securities to be approved by the board of trustees; Provided, no member of said board shall be received as such security. He shall take charge of the funds of the university which. may be placed in his hands by order of the board.

SEC. 15. That the property, real and personal, authorized to be held by said corporation by virtue of this act, shall be property, how held and applied in good faith to the purposes of education in the various departments of instruction, according to the provisions of this act, and for no other purpose; the said corporation shall not deal in exchange, discount notes, or in any commercial business or pursuit.

SEC. 16. That all property belonging to said corporation, as prescribed by the foregoing sections, excepting real estate held by said corporation in the territory and not occupied for the immediate purpose of education, shall forever be free from

CHAPTER CCLVI.

AN ACT to incorporate the Mount Union College Association.
Be it enacted by the Governor and Legislative Assembly of
Kansas:

SECTION 1. That Charles Jenkins, A. Cornell, Samuel Cooper, J. D. Adams, T. R. Points, I. G. Simpson, A. G. Rowell, G. H. Pool, L. R. Palmer, L. W. Crowl, and Henry Haid, and their associates and successors, are hereby constituted a body corporate, under the name and style of the Mount Union College Association, and by that name shall have perpetual succession, and shall have a common seal and may change and alter the same at pleasure, may sue and be sued, plead and be impleaded, defend and be defended, in any court of law or equity, and shall have power to hold by gift, grant, devise, purchase, or otherwise, any land, tenements, hereditaments, moneys, rents, goods, and chattels of whatever kind that have been heretofore or may hereafter be given, granted, or devised to or purchased by them, for the benefit of said association, and may sell and dispose of the same, or any part thereof, or may lease, rent, or improve the same in such manner as they shall deem most conducive to the interests of said association.

SEC. 2. That the object and design of said association shall be the establishment of a college in the county of Pottawat

tomie, on section nineteen, (19) in town eight (8) south, and range nine (9) east of the sixth principal meridian, to be called Mount Union College, in which shall be taught the elementary branch of education, together with the sciences and modern and ancient languages, in the manner that may be determined from time to time by the proper officers of said association, as provided by their by-laws and regulations.

SEC. 3. That ten acres of land, and the improvements and Exempt from buildings thereon, shall be exempt from taxation, but nothing herein contained shall be so construed as to allow said corporation to hold more than one thousand acres of land at any one time.

SEC. 4. This association shall have power to make all Government. rules, by-laws, and regulations necessary to carry out the provisions of this act.

That said association is hereby empowered to ap- Faculty and point a faculty, the president of which shall be ex officio president of the association, and to appoint such other officers and tutors as the interests of the institution may require; they may also displace the same, and make such other regulations as will further the interests of the institution.

SEC. 6. That said corporation shall have power to confer all the literary honors and degrees conferred by similar institutions, and to create such other degrees as may best promote the education of agricultural and professional teachers for common and high schools.

SEC. 7. That no misnomer of said corporation shall de feat any intended gift, grant, conveyance, devise, or bequestthereto, nor any act or deed intended to be done or made thereby.

This act to take effect and be in force from and after its passage.
