and description necessary for the manufacture of such minerals; and they and their successors as a body corporate, by the aforesaid name and style, shall be competent and capable of purchasing, receiving by donation, gift, grant or devise, holding, mortgaging and conveying any property or estate whatever, real, personal or mixed.

SEC. 2. That for the ready transportation of the produce May build road. of such mines and manufactories, the said company shall have the power to survey, locate, and establish and construct a road of plank, turnpike, or railroad, from the said works and premises of the company to such point or depot as shall be deemed necessary.

SEC. 3. That if any person or persons shall willfully do or offenses. cause to be done any act or acts whatever whereby any building or buildings, works, or other property of said company, or any engine, machine, apparatus, or structure, or matter, or thing appertaining to the same, shall be stopped, obstructed, impaired, injured, or destroyed, the person or persons so offending shall be deemed guilty of a misdemeanor, and also Punishment shall forfeit and pay to the said company double the amount of damages sustained by means of such offense or injury, to be recovered in the name of said company, with costs of suit, in any court having jurisdiction of the same.

SEC. 4. The capital stock of said company shall be one of stock. hundred thousand dollars, with the privilege of increasing the same to five hundred thousand dollars, to be divided into such shares, to be subscribed and paid for in such manner and proportion as shall be prescribed by the by-laws and rules of said company.

SEC. 5. The stockholders shall have full power to make Government. such by-laws and rules for regulating the affairs of said com. pany as they shall deem necessary respecting the management and disposition of the stock, profits, property, and estate of said company, the duties of the officers, artificers, and agents to be employed, the number and election of directors, and all such matters as appertain to the concerns of the company. SEC. 6. This act to take effect and be in force from and after its passage.

CHAPTER CCVI.

AN ACT to incorporate the Monmouth Quartz Lead Mining Company.
Be it enacted by the Governor and Legislative Assembly of the
Territory of Kansas:

SECTION 1. That R. Sopris, W. M. Slaughter, Henry Allen, Charles Tasher, J. H. Gest, their associates and successors, be and are hereby created a body politic and corporate, by the name and style of the "Monmouth Quartz Lead Mining Company," and by that name may sue and be sued, plead and be impleaded, in all courts of law and equity in the territory or elsewhere; said company is authorized to have and use a common seal and to alter the same at pleasure, to make such by-laws and regulations as may be deemed necessary for the government of said company and management of its affairs.

SEC. 2. The said corporation may divide their original stock into such number of shares, and provide for the sale and transfer thereof, in such manner and form as they may deem expedient, and may levy and collect assessments and forfeit and sell delinquent shares in said mines in such manner as their by-laws may direct.

SEC. 3. The capital stock of said company shall consist of one million of dollars, which may be increased to two millions if deemed necessary by said company upon the payment of the same into the treasury, which may be divided into shares of one hundred dollars each, and each stockholder shall be entitled to certificate for each one hundred dollars of capital stock by him paid into the treasury of said company.

SEC. 4. The above named corporation shall have the right of way for the purpose of building ditches or flumes for the purpose of bringing water to any portion of their mines, as well, also, the privilege of stone and earth necessary in the construction of the same; Provided, that in such cases the party injured by said right of way shall be entitled to receive damages therefor, to be defined by arbitrators chosen for that purpose, in the same manner that arbitrators are usually

chosen.

SEC. 5. The management of the affairs of said company shall be vested in a board of directors, composed as follows: the president, vice president, secretary, treasurer, and super

intendent of the company, who shall not only perform their duties as officers of the company, but shall also perform the duties of directors of the company; they shall be elected annually upon the second Monday of May, and shall hold their respective offices, and until their successors are elected and qualified.

AN ACT to incorporate the Northwestern Mining Company.
Be it enacted by the Governor and Legislative Assembly of the
Territory of Kansas:

SECTION 1. That John S. Jones, J. L. Cartwright, Edgar Conklin, William II. Hurlbut, and F. Y. Hone, and such other persons as may hereafter become associated with them, shall be and they are hereby incorporated and made a body corporate and politic, by the name and style of the "Northwestern Mining Company," and by that name and style they and powers. and their successors and assigns shall have continual succession, and be entitled to all the privileges and immunities incident to a corporation as the North western Mining Company, and as a body corporate and politic, such as contracting and being contracted with, suing and being sued, pleading and being impleaded, defending and being defended, answering and

being answered, in any court in this territory or of the United States herein, and they and their successors may have a common seal, and may make and alter the same at pleasure; and the said company shall have full power and authority to open and work any mines of coal, lead, or other minerals or òres that may exist on any lands which the said company may ac quire in the territory of Kansas, and on such land to erect furnaces, founderies, forges, and manufactories of every kind and description necessary for the manufacture and development of such minerals and ore; and they and their successors, as a body corporate, by the aforesaid name and style, shall be competent and capable of purchasing, receiving by donation, gift, grant, or devise, holding, leasing, mortgaging, and conveying any property or estate whatever, real, personal, or mixed.

SEC. 2. That for the ready transportation of the produce of such mines and manufactures, the said company shall have power to survey, locate, establish, and construct plank roads, turnpike roads, railroads, and other roads, from the said works and premises of said company to such point or points or depots as by said company may be deemed necessary for the purpose of mining and manufacturing, as aforesaid, and may charge a reasonable compensation for the use of the same by other persons, corporations, or companies.

SEC. 3. That the capital stock of said company shall be three hundred thousand dollars, with the privilege of hereafter increasing the same to five hundred thousand dollars, which capital shall be equally divided into shares of one hundred dollars each, entitling the holder of the same to one vote, either in person or by proxy, in all elections held by said company.

SEC. 4. That the said John S. Jones, J. L. Cartwright, Edgar Conklin, William H. Hurlbut, and F. Y. Hone, and their associates, shall act as commissioners to procure subscribers for the stock of said company, and for that purpose shall open books at such places and on such days, after the passage of this bill, as they may deem proper, and as soon as one thousand shares are subscribed for, and five per cent. thereon paid in, they shall notify the stockholders of the fact, designating some convenient time and place to meet and hold an election for directors.

SEC. 5. The management of the affairs of said company

shall be vested in seven directors, who shall be stockholders, four of whom, with the president, shall constitute a quorum to do business; such directors shall hold their office for one year, and until their successors are elected.

SEC. 6. The board of directors, as soon as practicable after Elect officers. their election, shall proceed to elect by ballot, from among themselves, a president, and such other subordinate officers as they may deem necessary, and shall provide by-laws for the future government of this company not repugnant to law nor inconsistent with this charter.

SEC. 7. That from the time said company shall be organ- Liabilities. ized and the certificates of stock issued, all the property, real and personal, moneys, credits, and effects of said company, shall be liable for the debts of the same, and all real estate conveyed to said company in consideration of its stock shall, from the date of the execution of the conveyance, be liable for the debts of the same, and each stockholder shall be liable personally only in the amount of stock owned by him.
