as they shall deem necessary to carry out the objects aforesaid, conduct and execute the business and affairs of said association, to fix their compensation, and in their discretion to dismiss them; to provide for the investment of the funds of the association in such manner as they shall deem most safe and beneficial; to provide for paying all the necessary expenses of conducting the affairs of the association, and generally to pass all such by-laws as shall be necessary to the exercise of said powers, and of other powers vested in said association, and the said by-laws from time to time to alter and repeal: Provided, That such by-laws shall not be contrary to the constitution and laws of this commonwealth, nor of the United States.

SECTION 9. It shall be the duty of the trustees, at least once in every year, to appoint from the members of the said association, three competent persons as a committee of examination, whose duty it shall be to investigate the affairs of said association, and to make report thereof; and it shall also be the duty of the trustees on the first Mondays of January and July, in each and every year, to make and declare a dividend of the interest and profits of the said association, after paying its expenses, and the same to pay over to the stockholders, or their legal representatives, within thirty days thereafter.

SECTION 10. Whenever the West Philadelphia hall association shall Elections, when have completed their building or buildings, or so much of them as may be necessary for the purpose, it shall and may be lawful for the town council of the borough of West Philadelphia, at the request of a majority of the legal voters of said borough, to remove the place of holding all general or special elections in said borough, from the public school house to the hall of said association, of which due notice shall be given by public printed handbills, and in three or more newspapers published in the city of Philadelphia: Provided, That the place for the meeting of the assessors and inspectors of the borough of West Philadelphia, for making the additional assessment, shall hereafter be held in the room used by the town council, as their chamber at the present time, and until a suitable hall is erected or provided.

Proviso.

SECTION 11. The legislature hereby reserves the right to alter, amend, or repeal the charter of the West Philadelphia hall association, whenever, in their opinion, it may be injurious to the citizens of this commonwealth; in such manner, however, that no injustice shall be done to the incorporators.

A SUPPLEMENT

To an act authorizing the sale of real estate in Luzerne and Columbia counties, and for other purposes, passed the tenth day of April, one thousand eight hundred and forty-eight.

WHEREAS, By the second section of the said act, the commissioners therein named are directed to apply the proceeds of the sale of the court Preamble. house, and other public buildings and real estate on which they are erected, or is appurtenant thereto, situate in the town of Danville, in Columbia county, as directed by the act, entitled "An Act concerning the removal of the seat of justice of the county of Columbia, from Danville to Bloomsburg," passed the twenty-fourth day of February, one thousand eight hundred and forty-five:

And whereas, By the second section of the last mentioned act, it is directed that so much of the proceeds of said sale as is necessary to refund to the citizens of Danville, whatever amount of money they may have given for the original construction of the public buildings at said town, and the purchase of the lots of ground on which they are erected, shall be refunded to said citizens; therefore,

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That the said commissioners be hereby authorized and directed to give one Commissioners month's notice in the two newspapers published in Danville, to all per- to give notice of distribution, &c. sons interested, of the time and place of meeting of the said commissioners, for the purpose of distributing the proceeds of said sale; which distribution is to be final and conclusive; and to distribute the proceeds of the said sale, after deducting the necessary costs and expenses incident to the said sale and distribution, pro rata, to and among all individual contributors, their executors and administrators, whether they. reside in Danville or elsewhere.

A SUPPLEMENT

To the act, entitled "An Act to incorporate the Williamsport bridge company, in the county of Lycoming, and for other purposes."

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That from and after the passage of this act, the president, managers and company of the Williamsport bridge company, be and they are hereby authorized and empowered to borrow from time to time, any sum or sums of money that they may judge necessary, for the purpose of finishing and completing said bridge, not exceeding five thousand dollars, and to mortgage or pledge their corporate property, or part thereof, as a security for said loan or loans.

SECTION 2. That hereafter, in any election for officers of said company, the stockholders of said company shall vote in his or her own proper person; and any law now in force authorizing such stockholder to vote by proxy, is hereby repealed.

AN ACT

To incorporate the Fellowship hose company of the borough of Germantown.

WHEREAS, A number of persons have associated themselves together for the purpose of preserving property from the ravages of fire:

And whereas, The said persons, for the purpose of rendering their organization more efficient, are desirous of becoming incorporated; therefore,

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That the persons who now constitute the Fellowship hose company, of the

borough of Germantown, in the county of Philadelphia, or who shall
be hereafter admitted members of the same, shall and are hereby
declared to be a body politic and corporate, by the name, style, and Incorporate.

and chattels, of whatsoever nature, kind, or quality, real, personal or
mixed, or choses in action, and the same from time to time, sell, alien,

and to make and have a common seal, and the same to break and renew
at pleasure, and also to ordain, establish, and put in execution, such
by-laws, ordinance, and regulations as shall appear necessary and con-

this charter, or the constitution and laws of the United States, or of
this commonwealth, and generally to do all and singular, the matters
and things which to them it shall lawfully appertain to do, for the well
being of the said corporation, and the due management and ordering
the affairs thereof.

Nothing in this act contained, shall be deemed to authorize the said company to engage, either directly or indirectly, in banking, monied, commercial, or manufacturing concern, or to act in any other way than as a fire company; and said company shall, at all times, be subject to such rules and regulations as now are, or may hereafter be enacted. by the borough authorities of Germantown, for the proper government of the fire department of that place.

AN ACT

To incorporate the Olive cemetery company.

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, Tha Joseph P. Humphries, George W. Gaines, Mifflin Gibbs, Urban D. Bayard, and James C. Andrews, together with such other persons as may hereafter become purchasers of lots, for burial purposes, within a certain tract of land, situate on the north side of the Lancaster turnpike, in the township of Blockley, in the county of Philadelphia, containing about ten acres and twenty-two perches, lately purchased by the said Joseph P. Humphries, George W. Gaines, and Mifflin Gibbs, be and they are hereby made a body politic and corporate in law, under the name, style and title of "the Olive cemetery company;" and by that name shall be able and capable, in law, to use a common seal, and to sue and be sued, to plead and be impleaded, and to do all such other things as are incident to a corporation.

SECTION 2. The affairs of the said company shall be conducted by a Annual election. board of five managers, to be elected annually by the lot-holders, on the first Monday in September, and in such elections, each person shall be entitled to one vote for every lot that he may own; the managers shall have power to lay out and ornament the said tract of land, arrange and sell burial lots, and make such by-laws, rules and regulations, as they may deem necessary and proper for the protection of the cemetery, and the business of the company: Provided, That the said persons named in the first section of this act, shall be managers until the first Monday in September next, and until others are duly elected.

SECTION 3. That no street, lane or road, shall hereafter be opened through the said tract occupied as a cemetery, without the consent of a majority of the lot-holders; and the same, when used as a place of sepulture, shall be exempt from taxation, excepting for state purposes; and no lot which may be purchased as a place of sepulchre, shall be subject to attachment or execution, for any debt or debts of the owner thereof: Provided, That said exemption from attachment and execution, shall not extend to more than four lots as owned by any one individual.
