Synod.

2. At the first meeting of the Diocesan Synod by Nova Scotia of Nova Scotia after this Act shall have been brought into force as provided in Part II hereof, said Synod at such meeting or at any subsequent meeting, duly called for the transaction of special or general business, may elect eight persons to represent said Synod on said Board of Governors, of whom four shall hold office until the first annual meeting of said Synod held thereafter and four others shall hold office until the second annual meeting of said Synod held thereafter.

3. 4. The persons elected in accordance with the provisions of Sections 1, 2 and 3 hereof, and their successors elected in accordance with this Act, together with the following persons and their successors in their respective offices, namely: The Most Reverend Clare L. Worrell, D. D., Lord Bishop of Nova Scotia; the Right Reverend John Andrew Richardson, D. D., Lord Bishop of Fredericton, and the Reverend T. Stannage Boyle, D. D., President of King's College, shall constitute the Board of Governors of the University of King's College and shall be a body corporate for the government of said University of King's College.

At each subsequent annual meeting of the Alumni of King's College, the Diocesan Synod of Nova Scotia and the Diocesan Synod of Fredericton after the election of the persons who may have been elected under the provisions of Sections 1, 2 and 3 hereof, each of said bodies shall elect such number of members of said Board of Governors as may be necessary to fill vacancies occurring through the expiration of the terms of office of members elected to

represent said body, and each member so elected to represent said body and each member so elected shall hold office for a term of two years.

6. Any vacancy occurring, whether by death, Executive resignation, incapacity or inability to serve, failure may fill vacanto elect, removal from office, or otherwise, among' the elective members of said Board of Governors, may be filled by the Executive Committee of the Alumni Association of King's College, by the Executive Committee of the Diocesan Synod of Nova Scotia, or by the Executive Committee of the Diocesan Synod of Fredericton respectively from among the members of said Association or Synod, as the case may be, and any member so elected shall hold office until the expiration of the term for which the member whose seat is vacated was elected.

8. The said Board of Governors shall have power Powers to adopt a common seal, to sue and be sued, to acquire, hold, occupy, enjoy, lease, mortgage, sell and convey all real and personal property, to borrow money on the credit of the Board, to give security therefor, to make and execute conveyances, agreements and contracts, to make and establish such by-laws, rules and regulations for the conduct of meetings, appointment and duties of committees and all matters within or under the jurisdiction of said Board, the management of the property of the Board, the appointment, duties and removal of professors, instructors, servants and agents, instruction, discipline and government of students and the enjoyment and exercise of all rights, powers, privileges and authorities hitherto had, held or exercised by the Board of Governors of said University of King's College, Windsor, including the power of conferring academic honors and degrees.

10. All real and personal property owned, held occupied or enjoyed by the Governors of the University of King's College shall be vested in the Board of Governors hereby constituted, without the necessity for any conveyance or transfers thereof, and said Board of Governors shall be liable for all debts, liabilities and engagements of the Governors of King's College as are due or accruing due at said appointed date.

11. Said University is hereby empowered to enter into any agreement with any other University or Universities with a view to co-operation in the exercise of any rights, powers and privileges as a Uinversity, including the power of conducting all or part of its work at Halifax, or at any other place within the Maritime Provinces of Canada, and for carrying out. any such agreement is empowered to apply its income, revenues, funds, endowments, and property for such purposes. "Provided that this section shall not apply to any sum or sums which may have been received by said University on the express trust to be returned to the doners or their legal representatives in the event of amalgamation or federation with any other University or College. Further provided that in respect of all other sums the terms of any trust respecting the purposes to which the income therefrom is to be applied shall be adhered to."

12. No member of said Board shall be liable in his person or estate for any debts or liability contracted on behalf of said Board unless he shall expressly agree to be answerable therefor.

PART II.

13. Part I of this Act shall come into force on a proclamation. date to be appointed by the Governor-in-Council by proclamation published in the Royal Gazette.

14. Upon the coming into force of Part I of this Inconsistent or Act all Acts inconsistent with or contrary to the repealed. provisions of this Act relating to the University of King's College, Windsor, passed previously to the coming into force of this Act shall be deemed to be repealed.

CHAPTER 131.

An Act to Incorporate The Governing Body of King's
College School, Windsor, Nova Scotia.

(Passed the 6th day of April, A. D., 1923).

Be it enacted by the Governor, Council, and Assembly, as follows:

PART I.

1. The Most Reverend Claredon Lamb Worrell, Incorporation. Lord Bishop of Nova Scotia, and his successors in office, and the persons elected or appointed in accordance with the provisions of this Act, and their successors to be appointed from time to time, in accordance with said provisions, are hereby constituted a body corporate under the name of "The Governing Body of King's College School, Windsor," for the purpose of managing and maintaining the School now administered under the direction of the Board of Governors of King's College, Windsor.

2. Said Governing Body shall, in the first instance, First Governconsist of the Lord Bishop of Nova Scotia for the time constituted. being, two members of the Board of Governors or of the Faculty of the University of King's College elected by the Board of Governors at its next General Meeting, two members of the Diocesan Synod of Nova Scotia, elected by ballot at its next Annual Meeting, four members of the Old Boys' Association of King's College School, Windsor, elected at its next Annual Meeting and six other persons, to be appointed by the elected members of the Governing Body, three of whom may be nominated by the Lord Bishop of Nova Scotia.

3. In the first election of the two members of said Board of Gov- Governing Body by the Board of Governors, referred to in Section 2 hereof, one of said members shall be elected for the term of two years, and the other member shall be elected for the term of four years, and on the expiration of the term of either of said members, his successor shall be elected by said Board at the annual meeting of said Governors for a term of four years.

4. In the first election of the two members of said Governing Body elected by the Diocesan Synod of Nova Scotia referred to in Section 2 hereof, one of said members shall be elected for the term of two years, and one other member shall be elected for the term of four years, and on the expiration of the term of either of said members his successor shall be elected by said Synod at the Annual Meeting of said Synod for a term four years.

5. In the first election of the four members of said Governing Body elected by the Old Boys' Association of King's College School, Windsor, referred to in Section 2 hereof, two of said members shall be elected for the term of two years, and the two other members shall be elected for the term of four years, and on the expiration of the term of any of said members, their successors shall be elected by said Old Boys' Association at the Annual Meeting of said Old Boys' Association for a term of four years.

6. In the first appointment of the six persons appointed by el pointed by the elected members of the Governing Body referred to in Section 2 hereof, three of the six persons shall be appointed for the term of two years, and the other three persons shall be appointed for the term of four years, and on the expiration of the term of any of said members, their successors shall be appointed by said members of the Governing Body at the Annual Meeting of said Governing Body for a term of four years.
