BY-LAWS.

CHAPTER I.

MEMBERSHIP.

SECTION 1. All the members of this Society at the time of the adoption of these By-Laws and the accompanying Constitution, shall be continued members.

SEC. 2. Any regular practitioner of medicine in Indiana, upon being recommended by the Admitting Committtee, shall be elected or rejected by a majority vote.

SEC 3. Any physician so elected, on signing the Constitution and paying the initiation fee, shall be a member of the Society.

SEC. 4. Any gentleman, an honorary member of this Society, when this law is adopted, shall continue so.

SEC. 5. Any gentleman, not a resident physician in Indiana, upon being recommended by the Admitting Committee for honorary membership, shall be elected or rejected by a majority vote.

SEC. 6. Honorary members may participate in all proceedings, except matters of an organic or disciplinary nature, but shall not vote.

CHAPTER II.

OFFICERS.

SECTION 1. Officers shall be elected annually on the report of the Nominating Committee, by ballot or viva voce, as the meeting may, at the time, direct.

SEC. 2. Officers shall assume the duties of their respective offices at the beginning of the annual meeting next after their election, and shall serve for one year and until their successors are qualified.

SEC. 3. It shall be the duty of the President to take the chair and call the Society to order at the appointed time; supervise the proceedings; preserve decorum; appoint committees; deliver an address; and perform such other service as parliamentary usage and the By-Laws may require.

SEC. 4. The Vice President shall perform the ordinary duty of the President when he is absent from the chair.

SEC. 5. The Secretary shall make and preserve a record of the proceedings of the Society; notify officers and committee-men of their appointment; keep a financial account with each member, and with the Treasurer on behalf of the Society; make a corrected list of the members at the close of each annual meeting; preserve all books and papers pertaining to his office; make report to each annual meeting; and perform such other services as the Society may require.

SEC. 6. The Assistant Secretary shall assist the Secretary in the performance of his duties.

SEC. 7. The Correspondor shall conduct the correspondence of the Society, and report to each annual meeting.

SEC. 8. The Treasurer shall receive all money from the Secretary and pay out the same upon the order of the President, or the Chairman of the Publishing Committee, countersigned by the Secretary, and make report to each annual meeting.

SEC. 9. The Librarian shall have charge of the library and cabinet, and make report to each annual meeting.

CHAPTER III.

MEETINGS.

SECTION 1. The Annual Meeting shall begin on the third Tuesday in May of each year; adjourned meetings may be held at any time when ordered by a majority vote; and meetings called at any time by the President, upon the written request of fifteen members specifying the purpose for which they desire the Society convened.

SEC. 2. All meetings shall be held in Indianapolis, unless otherwise ordered.

CHAPTER IV.

ORGANIC COMMITTEES.

SECTION 1. The Admitting Committee shall consist of three members, and shall be appointed by the President immediately after the opening of each meeting. It shall serve during the meeting at which it shall be appointed, and shall examine into the qualifications of all applicants for membership, and report from time to time to the Society.

SEC. 2. The Financial Committee shall consist of three members, and shall be appointed by the President before the close of the first session of each meeting. It shall estimate the amount of money to be assessed on each member present to meet current expenses, and report to the society at the opening of the second session, or as soon thereafter as practicable.

SEC. 3. The Nominating Committee shall consist of three members, and shall be appointed by the President during the first session of each annual meeting, or as soon thereafter as practicable. It shall select members to fill the several offices, to serve as representatives to other societies, to constitute committees not otherwise provided for, and nominate them to the Society by report.

SEC. 4. The Publishing Committee shall consist of five members: the Secretary, Assistant Secretary and Treasurer shall be ex-officio members, and two others shall be appointed by the President during the progress of the meeting, one of whom he shall name as Chairman of the Committee. It shall superintend the printing and publishing of the transactions of the meeting at which it is appointed, making the volume uniform in appearance with preceding volumes; it shall supervise and edit all papers presented to the Society and ordered to be published, unless otherwise instructed by the Society, and report to each annual meeting.

SEC. 5. The Executive Committee shall consist of three members, and shall be appointed by the President at each annual meeting. It shall serve from the close of the meeting at which it is appointed until the close of the next annual meeting. It shall provide rooms for the society; digest and prepare business for each meeting, and recommend plans for the promotion of its objects, and in all things protect and superintend the interests of the Society.

SEC. 6. The Ethical Committee shall consist of three members, and shall be appointed by the President at each annual meeting. It shall serve from the close of the meeting at which it is appointed until the close of the next annual meeting. It shall hear and determine all complaints of breach of etiquette or violation of medical ethics sub

mitted to it, but the party against whom a decision is so rendered shall have the right of appeal to the Society. If any member shall be charged, by any responsible person, in writing, with any offense against the laws or well-being of this Society the Committee shall furnish the accused with a copy of the charge, and cite him and the accuser, with their witnesses, to appear at some suitable time and place whereat it shall hear and adjudicate the case, reserving its decision to report, with the facts of the case, to the next meeting of the Society.

SEC. 7. The Prize Committee shall consist of three members, and shall be appointed by the President at each annual meeting as early as practicable. It shall serve from the time of its appointment until it reports to the next annual meeting. Whenever there is sufficient money in the treasury for that purpose, the committee shall, before the close of the meeting at which it was appointed, announce that a prize of not less that fifty nor more than two hundred dollars will be given to the resident of this State who shall write the most acceptable essay upon the subject named by the Committee at the time. The Committee shall require every one writing for this prize to place his essay in the hands of the Committee, in the usual incognito manner, on or before the first day of May next succeeding. The Committee shall decide which essay, if any, is entitled to the prize, and shall report it, together with the key to the author's name, to the ensuing annual meeting, and the President shall, in the presence of the Society, break the seal and announce the name of the essayist, and shall, thereupon, issue to him an order upon the treasurer for the prize money.

CHAPTER V.

SPECIAL COMMITTEES.

SECTION 1. Special Committees may be moved by any member or by the Nominating Committee, to consist of the number, and to be appointed in the manner, the meeting may direct.

CHAPTER VI.

TAXATION.

SECTION 1. The initiation fee shall be three dollars, to be paid at

the time of signing the Constitution.

SEC. 2. The annual tax on the attending members shall be sufficient, each year, to cover the ordinary expenses of the Society that year, to be determined by the Society, upon the report of the Finance Committee, and shall be due and payable as soon as announced.

SEC. 3. The annual tax upon members not attending the annual meeting shall be two dollars, due and payable during the annual meeting, and the money arising from this source shall be devoted to the encouragement of prize essays by Indiana physicians.

CHAPTER VII.

PUNISHMENTS.

SECTION 1. The Ethics Committee having reported the case of any member to the Society, the statement of the Committee shall be read, and thereupon the Society shall proceed to consider the case. If the accused is found guilty, the Society shall determine the nature and method of his punishment within the purview of Article XII of the Constitution.

SEC. 2. If an appeal is brought before this Society, under the provisions of section 6 of Chapter 4 of these By-Laws, it shall hear the statement of the appellant and of the Ethics Committee, and determine the case upon the facts presented.

SEC. 3. Any member delinquent in the payment of any assessment shall be considered suspended while such delinquency continues, and shall not be entitled to a copy of the transactions, nor to other privileges of members in good standing; and if such delinquency continue until the end of the next annual meeting after that at which the delinquency began, the Secretary shall strike the name of the delinquent from the roll of members, and record the fact in the minutes of that meeting, and publish it with the transactions.

CHAPTER VIII.

MISCELLANEOUS.

SECTION 1. When any officer necessary to the proper transaction of business is absent, his place shall be filled by an appointment pro tempore.
