provisions of the said act, then these presents, and the estate hereby transferred and released, shall cease and determine; otherwise, and in case of default by the said company, in the redemption of the said certificates, or in the payment of the interest thereon accruing, then, and in that event, these presents shall operate and enure, as a full, absolute and entire surrender and release, by the said Detroit and Pontiac railroad company, to the said state, of all the rights, privileges and franchises, in said company vested by its act of incorporation; and it shall and may be lawful for the said Robert Abbott, auditor general, as aforesaid, or his successors in office, to sell the property and estate, of any kind whatsoever, unto the said Detroit and Pontiac railroad company belonging, at public auction or vendue, and the proceeds thereof to apply to the redemption of said certificates of stock, and the payment of interest thereon; and the balance of such proceeds, if any there should be, after the redemption of all of said certificates, and the payment of the interest thereon, after deducting the charges of such sale, to distribute among the stockholders of said Detroit and Pontiac railroad company. In witness whereof, the president and directors of the Detroit and Pontiac railroad company have hereunto set their hands, and affixed their corporate seal, the day and year above written. State of Michigan, Oakland county, ss: Be it known, that on this nineteenth day of April, A. D., 1838, personally appeared before me the above named A. Williams, S. Hodges, G. D, Williams, J. A. Weeks, Jas. B. Hunt, G. W. Williams, Solomon Close, Sherman Stevens, and Eugene Van Deventer, to me known to be the persons who executed the annexed instrument, and severally acknowledged that they executed the same for the uses and contained. Whereas, by virtue of the act entitled "An act to provide for the relief of the Detroit and Pontiac railroad company," it is required, among other things, that the certificates of stock shall not be delivered to said company, until the stockholders of said company, convened according to the provisions of the seventh section of the act incorporating said company, shall have duly expressed their assent and their acceptance of the provisions of said act, and shall have filed a certificate thereof, under the seal of said corporation, duly signed by the president and directors thereof, in the office of the treasurer of this state, and a duplicate thereof in the office of the auditor general and attorney general of this state." And, whereas, a meeting of the stockholders of said company, has this day been held according to the requirements of the seventh section of said act, and after giving thirty days public notice thereof, and said stockholders being the holders of a majority of the stock of the company, having duly assented to and accepted of the provisions contained in the act entitled "An act to provide for the relief of the Detroit and Pontiac railroad company:" Now, therefore, we, the president and directors of the Detroit and Pontiac railroad company, do hereby certify, that the stockholders of said company have assented to and accepted of the provisions, contained in the act above mentioned. AUDITOR GENERAL'S OFFICE, To the Speaker of the House of Representatives: } SIR-In reply to the resolution of the House of representatives of the 4th inst, I have the honor to transmit, herewith, a statement exhibiting the receipts and payments on account of the general fund, from the year 1836, to 1840, inclusive. The resolution contemplated a division of the payments under the following heads, to wit; executive, judicial, legislative and extraordinary; but as the accounts liquidated by the legislature and directed to be paid by the appropriation bills, are not to be found in this office, it has been out of my power to designate to which of those classes many of the items belong. I have, therefore, prepared the statement under the heads designated by the law of the last session. For the same reasons, I have not the means of ascertaining precisely the expense of any one year. I also inclose a statement showing the liabilities of the general fund, at the close of the last fiscal year., I also beg leave to refer to page 21 of my annual report, for an estimate of expenditures for the present year.
