On the understandings specified below, the United States will accept a guilty plea from Associateć Milk Producezs, Inc. (1) to a six count charge alleging one viclation of 18 U.S.C. § 371 and five violations of 18 U.S.c. § 610. This will dispose of potential charges pased on corporate contributions by API and its predecessor corporation, Milk Producers, Inc. made in connection with the 1968, 1970 and 1972 federal elections. It is expressly understood that API is not receiving immunity from prosecution for possible violations of 18 U.S.C. §§ 201 and 371 in Connection with the March 25, 1971 milk price support decision, nor from any Title 26 proceeding.

The understandings are:

(1) that AMFI will enter its plea in the District Court for the District of Columbia;

(2) that API will waive indictment on all charges;

(3)

that AMPI will waive all defenses predicated on lack of venue in connection with the 610 changes;

(4) that full disclosure will be made of all relevant information and documents in AMPI's possession; and

(5) that in addition to the restrictions and obligations placed on the United States in the first paragraph of this letter, the sole obligation on the United States is to bring to the attention of pre-sentencing investigators,

or court the extent of AMPI's cooperation with the United States. It is understood that the United States will make

no recommendation concerning sentence.

1. At all times material to this information

First Interoceanic Corporation (now Independent Bancorporation) was a corporation organized under the laws of the State of Iowa.

2. On or about November 5, 1968, pursuant to the

laws and Constitution of the United States, a general

election was held at which Presidential and Vice Presidential electors were voted for.

3. From on or about October 14, 1968, to on or about October 21, 1968, in the District of Minnesota and elsewhere, the First Interoceanic Corporation made a contribution in the amount of twenty-five thousand dollars ($25,000) to Illinois Citizens for Humphrey and Muskie, said contribution being in connection with the aforesaid general election, in violation of Section 610 of Title 18, United States Code.
