Proviso.

4. And be it enacted, That the capital of said corporation shall be one hundred thousand dollars, and may be increased from time to time by a vote of a majority of the directors, to an amount not exceeding two hundred and fifty thousand dollars; provided, that previous to taking such rate upon said increase of capital, the stockholders representing two-thirds of the stock of said corporation shall have given their consent thereto, specific and express and in writing; and that said capital stock shall be divided into shares of one hundred dollars each, and the said company may organize whenever fifty thousand dollars shall have been subscribed and paid in cash to the stock, and the said stock shall be deemed personal property, and transferable only on the books of said corporation, and shall be paid in at such times, in such manner, upon such notice, and subject to such limitations, restrictions, assessments and penalties, as the directors of the corporation may appoint, and that the pecuniary limit of the personal stockholders. and individual liability of the stockholders shall be an amount equal to the amount of their stock in said corporation, and that no person or persons, co-partnership, company, agency or corporation, who may act for the said "The Traders' Express Company," as their agents, or in the transaction of any business whatsoever of and for said company, shall be held liable or responsible for the fulfilment of any agreement or contract, or for any loss or damages made, incurred or sustained in, from and during the transaction of their said business by the said "The Traders' Express Company," and the principal office shall be in the county of Essex.

5. And be it enacted, That for the carrying out of the purposes mentioned in the first section, the said company may from time to time, procure, hold and use such vehicles, crates, cars, horses, machinery and such other personal property as may be needed by them for carrying on their business as aforesaid, and may also purchase, hold and convey so much real estate as may by them be considered necessary for the proper transaction of the business of said corporation.

6. And be it enacted, That the business of said corporation corporation shall be conducted by five directors, one of whom shall be president, and one the secretary and treasurer; the said directors shall hold their offices for one year, and until others are elected in their stead; the election for directors shall be held annually, at such time and place as the by-laws of the

corporation shall provide, ten days' previous notice thereof having been given in two newspapers published in the city of Newark, at which each stockholder shall be entitled to one vote, in person or by proxy, for each share of stock held.

7. And be it enacted, That at the annual meeting of the Annual statestockholders for the election of directors, the directors shall ment. exhibit a full, complete and exact statement of the affairs of the said company during the preceding year, and no dividends shall be declared upon the stock of said corporation except from actual net profits of the same; and this act shall continue in force for twenty-five years.

8. And be it enacted, That this act shall take effect immediately.

CHAPTER CCXXXII.

An Act to incorporate the Progress Riverside Turner Society.

1. Be it enacted by the Senate and General Assembly of Corporators. the State of New Jersey, That George H. Pfau, Henry Garbe, George May, August Schneider, Charles Miller, Leonhard Flohr, Frederick Schmidt, John Oppell, and all persons who are now or who may be hereafter associated with them, and their successors, are hereby created and erected into a body politic and corporate, in deed and in law, by the name, style and title of "The Progress Riverside Turner Society," and Name. by that name shall have perpetual succession, and shall be able to sue and to be sued, plead and be impleaded, defend and be defended, in all courts of law or equity within this state or elsewhere, and also to take and hold, either by gift, grant, bargain and sale, will or bequest, any goods and chattels, sum or sums of money from any person or persons for the use of said corporation, and also to sell and convey and to mortgage all or any part of the real estate held by said corporation; provided, however, that the clear yearly income Proviso. of the real estate held by the said corporation shall not ex

ceed the sum of five thousand dollars.

2. And be it enacted, That the object of said corporation shall be the intellectual and physical improvement of the members, by forming and keeping up a library, by establishing schools, and by furnishing instruction in gymnastic exer

cises.

3. And be it enacted, That the members of this corporation shall be male persons of full age, and citizens of the state of New Jersey; the rights and duties of the members shall be fixed by the by-laws.

4. And be it enacted, That the management of the affairs of the corporation shall be transacted by a board of managers, which shall consist of a president, a vice president, two teachers of gymnastics, two superintendents, a treasurer, a librarian and two secretaries; the rights and duties of the officers, their. election and their term of office, shall be fixed by the by-laws.

5. And be it enacted, That the members of the corporation shall be entitled to make, alter and rescind by-laws, rules and regulations not inconsistent with the provisions of this charter or with the constitution and laws of this state.

6. And be it enacted, That until an election of officers can take place, the board of managers of this corporation shall consist of the following persons: George H. Pfau, Henry Garbe, George May, August Schneider, Charles Miller, Leonhard Flohr, Frederick Schmidt, John Oppell.

7. And be it enacted, That this act shall take effect immediately.

CHAPTER CCXXXIII.

Supplement to "An Act to incorporate the Town of Union, in the township of Union, in the county of Hudson," approved March twenty-ninth, eighteen hundred and sixtyfour.

1. BE IT ENACTED by the Senate and General Assembly of the State of New Jersey, That the legal voters of said town shall have power and authority at their annual charter elec

tions in each year to raise, by plurality of votes, such sum or sums of money as they may think proper and necessary for repairing streets, repairing sewers, and for any other purpose authorized by the town charter.

2. And be it enacted, That hereafter the town clerk shall receive a salary not exceeding two hundred dollars a year, to be fixed by said council; and the assessor shall receive a salary not exceeding two hundred dollars per annum, to be fixed by said council; the collector of taxes a salary of one hundred dollars per annum, and the treasurer a salary of one hundred dollars per annum.

3. And be it enacted, That there shall be elected at each street comannual election hereafter held in said town a street commis- missioner. sioner, whose duties shall be prescribed by an ordinance of the council, and who shall hold his office for one year and receive a salary of one hundred dollars per annum, payable quarterly.

4. And be it enacted, That the office of schocl superinten- Trustees of dent be and is hereby abolished, and at the next annual public schools. charter election held in said town, in the year eighteen hundred and sixty-eight, there shall be elected nine trustees of public schools, in the manner and form that other town officers are elected, who, with their successors, shall together constitute a board of education; those nine elected in eighteen hundred and sixty-eight shall determine by lot the term of office of each trustee, as follows: three for one year, three for two years, and three for three years; and the result of said determination shall be filed with the town clerk, signed by said trustees; at each annual charter election thereafter there shall be elected three trustees, who shall hold their office for three years; vacancies may be filled by appointment by the council of said town until the next charter election, when said vacancy shall be filled by the election of a trustee for the unexpired term; the council of said town shall prescribe by ordinance the powers and duties of said board of education.

5. And be it enacted, That all moneys apportioned to the said town by the state, together with all moneys raised by tax for public schools, shall be paid to the treasurer of said

town.

where these matters are specially regulated by some provisions of the town charter.

7. And be it enacted, That the town council shall have power and authority, and they are hereby authorized, to raise by general ordinance such sums of money as they may deem necessary to erect a tower and fire bell and a town prison; said sums shall be assessed, collected and raised as other taxes in said town.

8. And be it enacted, That the council shall have power, directly and without petition or publication, or notice of any kind, to pass an ordinance or ordinances to widen and straighten Fulton street and Lewis street at their outlet on Bergen Wood avenue, and also to widen Bergen Line avenue (formerly called Bergen Line road), so that it shall be fortyfive feet wide throughout the whole length thereof, and to assess the expenses thereof on the property benefited by said improvement in proportion to the benefit received thereby.

9. And be it enacted, That the council shall have power to pass, alter and repeal ordinances; to compel owners of lots and occupants of premises to clean off and remove the snow and ice from the street and sidewalks in front of their premises, and to keep the same clear of snow and ice at all times; and on failure of said parties to obey the ordinances of the council in this respect, the street commissioner, by direction of the committee of the council on streets, may remove the said snow and ice, and file with the town clerk a description of the said lot and of the said premises cleaned, and the expenses thereof, and said expenses shall thereafter be and remain a lien on said premises, with interest thereon at the rate of twelve per centum per annum, until paid; and the said lot and premises may be sold therefor in the same manner and at the same time as said lot might be sold for non-payment of taxes, and leases thereof given in the same manner.

10. And be it enacted, That the council of said town may struct sewers, at any time hereafter make one or more main sewers through the township of Weehawken and North Bergen, for the purpose of having an outlet for one or more of the sewers and drains in said town now constructed, or that may hereafter be constructed; and said sewer may be constructed through private lands, and any surveyor appointed by the town council; and said surveyors, agents and employees shall have authority to go upon any private or public lands in the county of Hudson at any time to make surveys for the proposed route of
