DEAR SIR.-In accordance with the statute, I beg to submit the following report of the operations of this company during the past year. The capital stock of the company has been increased from one to three millions of dollars; a mortgage has been made upon the road and its franchises, to the Farmers' Loan and Trust Company of New York city, for two million five hundred thousand dollars ($2,500,000), and a second mortgage of five hundred thousand dollars ($500,000) has been authorized to be made. Several hundred thousand dollars of stock has been subscribed for at par, by citizens upon the line of road, and others; and, at the present time, meetings are being held, and subscriptions are being received in liberal amounts to aid in the construction of the road.

I stated in my report, one year ago to-day, it was expected that contracts would be closed and work commenced at an early day. They were closed, and ground was broken at Carmel, in Putnam county, in February of this year; since which time a force of men, varying from three to six hundred, has been constantly employed upon the road; in addition to which a powerful steam shovel has been used in the deep cut at Carmel, removing from two to four hundred car loads. of earth daily. A trestle, some 1,400 feet in length, and from twenty to sixty-eight feet in height, was constructed at Carmel; also a heavy and permanent trestle bridge was built between Carmel and Lake Mahopac, some 800 feet long, and about fifty-four feet in height. A duplicate of this is

just now being finished in the town of Somers, between Lake Mahopac and Croton lake. Heavy and first class abutments have been built at the middle and west branches of the Croton river, and a Mosely iron bridge already spans the middle branch of the Croton river. The work between Brewster's and Croton lake has been, for the most part, very heavy; but it has been pushed forward vigorously, and, at the present time, we have nearly twenty miles of the most difficult and expensive portion of our road ready for the ties; and iron work will be commenced upon the entire line between Croton lake and New York immediately after January 1st, and pushed forward as fast as the weather will permit; also, work will commence upon the heavy bridge over Croton lake at once. The final surveys are now nearly complete, and will, probably, be finished in January next. Considerable additional right of way has been secured during the year; also the company have several hundred tons of new rails on the road, together with about 80,000 ties, which are delivered and paid for, as well as the posts and lumber for fencing the line in Westchester county; while in Putnam county, substantial stone walls have been built for miles along the road.

This company have always met their payments and obligations, as well as their pay-rolls, promptly. About $400,000 of the first mortgage bonds of the company have been sold to capitalists in New York; while all the balance (with the exception of say about $200,000) are negotiated with a first class banking house of this city. It is the intention of the company to open a portion of the road for business early in the summer; and it is confidently expected that the road will be entirely completed and open for business during the year
