DEAR SIR.-The management and operation of the railway of this company is in possession of receivers appointed by the Supreme Courts of the States of New York, Connecticut, Rhode Island and Massachusetts; and all the books and papers relative to the affairs of this corporation are also in their hands.

This company has no portion of its railway in operation in this State, and no work has been done thereon during the past year.

Inclosed please find list of directors for the present year.

DEAR SIR. In response to your circular letter, I have the honor to submit, herewith, my report, as Treasurer of the Boston, Saratoga and Western Railway.

You will observe that it covers, simply, the form relating to stock and debts, inasmuch as the road has not as yet gone into practical operation. Its organization was hardly perfected when the death of its President occurred, which, taken into connection with the condition of the money market and certain negotiations with other roads still pending, has prevented the completion of the design for which the road was organized.

The report will, however, explain the present status of the Boston, Saratoga and Western Railway Company, which is now respectfully submitted.
