Each forkholder in

name they and their fucceffors, for fourteen years hereafter, fhall and may have fucceffion, and fhall be perfons in law capable of fuing and being fued, pleading and being impleaded, anfwering and being answered unto, defending and being defended in all courts and places whatsoever, in all manner of actions, fuits, complaints, matters and causes whatsoever. And that they and their fucceffors may have a common feal, and may change and alter the fame at their pleafure. Provided always, That nothing in this act contained shall be taken or conftrued to exonerate the members of the faid corporation from any debts which may hereafter be incurred by the directors thereof, but that each and every of the members thereof thall, in his individual capacity, be liable to be profecuted to judgment for any debt due from the faid corporation to any person whomfoever. And to the intent that the members of the faid corporation may from time to time, and at all times be known,

Be it farther enaded, That the directors for the time pub th themes of being, fhall once in every year publish the names of the the flockholders. ftockholders in the faid corporation, in one of the newf papers printed in the city of Albany, and file a copy thereof, fubfcribed by the laid directors, in the office of the clerk of the city and county of Albany.

And be it further enated, That the ftock, property, af be maraged by five fairs and concerns of the faid corporation fhall be managed and conducted by five directors, who shall be stockholders, and fhall, together with a factor, be annually chofen and elected on the third Wednesday in March; and the faid directors as foon as may be after their election, fhall proceed in like manner to elect, by ballot, one of their number to be their prefident. And if any vacancy or vacancies fhall at any time happen among the directors by death, refignation or removal, fuch vacancy or vacancies thall be filled for the remainder of the year in which they may happen by a fpecial election for that purpose, to be held in the fame manner as is herein before directed refpecting annual elections, at fuch time and place as the remainder of the directors for the time being, or the major part of them, fhall appoint. And the firft diFirft directors named, rectors fhall be Jeremiah Van Renffelaer, John Sanders, and to take an oath. Abraham Ten Eyck, Barent G. Staats, and Thomas Mather, who fhall immediately after their appointment, in the prefence of a judge or magistrate, fubfcribe the following oath or affirmation: I do folemnly iwear, or affirm, that I will well and faithfully discharge the office of a director of the Hamilton Manufacturing Society according to the bell of my ability and understanding.

And be it further enacted, That in cafe it fhould at any time happen, that an election of directors fhould not be made on any day when, purfuant to this act, it ought to have been made, the faid corporation fhall not for that cause be deemed to be diffolved, but that it fhall and may be lawful on any other day to hold and make an election of directors in fuch manner as fhall have been regulated by the laws and ordinances of the laid corporation.

Be it further enacted, That the prefident and directors of to time my fix the the faid corporation, fhall have power and authority from proportions to be paid time to time, to fix the feveral fums of money which thall be paid by the fubfcribers or holders of every fhare of the flock of the faid corporation, in part of the fum of one thousand dollars, being the amount of the fhare, and the place where the fame fhall be received, and shall give at least thirty days notice thereof, in the newspaper printed by the printer of this ftate for the time being, and in a newspaper printed in the city of Albany; and if any stockholder fhall refuse or neglect to pay the fum fo required, for the term of thirty days after the time fo appointed for paying the fame, every fuch defaulting stockholder fhall, in addition to the fum fo called for, pay at and after the rate of feven per cent per month for every month's delay of fuch payment. And if the fame, with fuch intereft as aforefaid, fhall not be paid within one year after the fame ought to have been paid, then, and in fuch cale, the fhare or fhares on which fuch payment and intereft fhall be due, fhall be forfeited to the ufe of the flockholders of the faid corporation, and may and shall be fold to the highest bidder at public vendue.

March, June, September and December in every year, and at fuch other times as they may judge expedient; and the faid directors for the time being, or a major part of them, fhall have the difpofition of the funds of the faid corporation, and fhall annually, on the third Wednesday in March, lay before the ftockholders of the faid corporation, a general fatement of their accounts and proceedings, which fame ftatement of accounts and proceedings, it thall be the duty of the directors to lodge with the factor at least ten days previous to fuch annual meeting, for the infpection and examination of the ftockholders. And the directors for the time being, or the major part of them, fhail ed to make bye laws, have power to make and prefcribe fuch bye laws, rules and regulations as to them fhall appear needful and proper, touching the management and difpofition of the flock, property, eftate and effects of the faid corporation, and touching the duties and conduct of their factor, agents, clerks, artificers and fervants employed therein, and touching all fuch matters as appertain to the faid corporation, with powers to appoint fuch and fo many officers, clerks and fervants for carrying on the faid bufinefs, and with fuch allowances and falaries as fhall to them feera meet. Provided, That fuch bye laws, rules and regu lations be not repugnant to the conftitution and laws of the United States,

CHA P. LXIX.

Au ACT for the Relief of the Canadian and Nova Scotia Refugees. Paffed 30th March, 1797. WHEREAS it has been reprefented to the legillature, that the lands alligned to the Canadian and Nova Scotia refugees upon actual furvey are found to contain a lefs quantity than was intended to be conveyed to them. And whereas it appears that there remains a fufficient quantity of land originally appropriated for their ufe unoccupied to fupply the deficiency: Therefore,

BE it enaded by the People of the State of New-York, reprefented in Senate and Affembly, That the commiflioners of the land office fhall caufe the deficiency in the quantity of land intended to be granted to the Canadian and Nova Scotia refugees, to be afcertained at the expence of the claimants, and fhall caufe the furveyor general to lay out fuch deficiency upon the tract immediately weft of the land already granted to them, and heretofore fet apart for that purpofe.

And be it further enacted, That the commiffioners of the land office fhall caule letters patent to be iffued to the refpective claimants, or their legal reprefentatives for the proportion of fuch deficiency to which they may be refpectively entitled, upon their paying the patent fees, and their respective proportions of the expences of furvey.

CHA P. LXX.

An ACT granting to Anthony Dobbin and James Tuftin, the Exclufive Right of running Stage Waggons and other Carriages between the Town of Gofien and the City of New-York.

B

Paffed the 30th March, 1797. DE it enacted by the People of the State of New-York, reprefented in Senate and Affembly, That Anthony Dobbin and James Tuitin, and their refpective executors, adminiftrators and affigns, fhall have, hold, poffefs and enjoy, for the term of three years from and after the paffing of this a, the fole and exclufive right, liberty and permiflion to erect, fet up, and drive at all time and times hereafter, during the term aforesaid, fuch ftage waggon or waggons, or other carriages, between the faid town of Gothen, in the county of Orange, and the city of New-York, as may be fufficient for the tranfportation of paffengers on the faid rout; and that it fhall not be lawful for any other perfon or perfons, upon any pretence whatever, during the term aforefaid, to erect, fet up, or drive any stage waggon or waggons, or any other carriages for the like purpose, to and from the places aforefaid on the faid rout, or any part thereof, under the penalty of five hundred dollars, to be recovered by any person or perfons who fhall profecute for the fame, together with cofts, in any court of record having cognizance thereof.

And be it further enacted, That the faid Anthony Dobbin and James Tullin, their executors, adminiftrators and affigns, fhall furnith and provide at least one good and fufficient covered flage waggon, or other carriage, to be drawn by four able horfes for the purpoles aforefaid; and

the price of each and every paffenger therein fhall not exceed four cents per mile, including the privilege of carrying fourteen pounds weight baggage, and that for every one hundred and fifty pounds

weight of baggage, not exceeding a like fum of four cents per mile, fhall be paid for the fame, and fo in like proportion for any greater or lefs quantity. And the faid flage waggon or waggons, or other carriage, fhall go and return at least once in every week during the faid term of three years on the rout aforefaid, unless the fame fhall be prevented by any temporary badnefs of the roads, or fome uncommon let or hindrance. Provided always, That in cafe the faid Anthony Dobbin and James Tuftin, their executors, adminiftrators or affigns, fhall neglect or rufufe to do and perform the duties aforefaid, according to the true intent and meaning of this act, that in such case this act shall cease and become void.

CHAP. LXXI.

An ACT to amend an Act, entitled, " an Act to incorporate the Stockholders of the Bank of Albany. Paffed the 31st March, 1797.

HEREAS the ftockholders of the bank of Albany, convened at a general meeting of the faid ftockholders, held agreeably to the act entitled, "An act to incorporate the ftockholders of the bank of Alba, ny," have prayed certain alterations in the act aforelaid: Therefore, BE it enacted by the People of the State of New-York, efted together as part reprefented in Senate and Affembly, That no two or more culations to be elected perions who are or shall be interested or connected together as copartners in any mercantile eftablishment or manufactory, or landed fpeculation, fhall be eligible to the office of director at the fame time, and that if any two perfons known to be fo connected fhall be elected at any one time, that only the perfon having the greatest number of votes fhall be admitted to a feat, and the election of the other perfon or perfons fo connected as copartners fhall be confidered as void. And further that if after any election the directors or either of them shall know or be informed by any stockholder that fuch connection does exift between any two or more perfons chofen directors, it shall be the duty of the faid directors on receiving the information to appoint three stockholders difconnected with the parties, and not in the direction, to examine the truth of the fame, and on their certifying in writing that fuch perfons are fo connected together, their feats fhall become vacant, and a new election be ordered to fupply their places.

Directors to clafs And be it further enacted, That the prefent directors of theclves into four the faid bank (except the prefident) fhall previous to the enfuing election clafs themfelves into four clafies of three members each; that the first clafs be ineligible at the enfuing elec tion; that fo many of the fecond clafs as fhall continue in office until the next annual election fhall be ineligible at the faid election; and so many of the third clafs as fhall continue in office until the next fucceeding annual election fhall be ineligible at the faid election, and that fo many of the fourth clafs as fhall continue in office until the next fucceeding annual election shall be ineligible at the faid election; and that the perfons who may be chofen directors at any future election (excepting the prefident for his time being) fhall be fo clafled as not to be eligible as directors for more than three years fucceffively until their feats have been vacated for one year at least.

CHA P. LXXII.

An ACT to regulate Buildings within certain Limits of the City of Albany. Paffed 31st March, 1797. HEREAS the Mayor, Aldermen and commonalty of the city of Albany, have by their petition reprefented to the legislature, that it will greatly tend to the tafety of the faid city against accidents by fire, to regulate the erecting of wooden buildings within certain limits in the faid city: Therefore,

BE it enacted by the People of the State of New-York, represented in Senate and Affembly, That the exterior walls of all dwelling houses, ftores and other buildings which after the first day of September next fhall be built or erected within the city of Albany between the north and fouth bounds thereof, and extending weftward to Hawk ftreet, continued northerly and foutherly to the northerly and foutherly bounds of the faid city, fhall be made, erected and conftructed either of tone or brick or of timber faced with brick, with party or fire walls rifing twelve inches above the roof, and fhall be covered, except the flat roof thereof, with tile, tin or flate, or other fafe materials against fire, and not with boards or fhingles: and that the flat of any roof may be covered with boards or fhingles: Provided, fuch flat do not exceed two fifth parts of the space of fuch roof; and that there be erected around the fame flat a fubftantial balcony of baluftrade. Provided always nevertheless, That all roofs of fteeples, copulas and fpires of churches and other public buildings may be covered with boards and fhingles, any thing in this act to the contrary notwithstanding,

And be it further enacted, That if any dwelling houfe ftore or other building whatfoever fhall be erected, conftructed, covered or roofed contrary to this act, except as herein before excepted, the proprietor or proprietors thereof fhall for every fuch offence forfeit and pay the fum of one hundred dollars, and the further fum of twenty-five dollars for every month fuch offence fhall be and continue; and the workmen who shall build, conftruct, raife, ere&t or roof fuch dwelling houfe, ftore or other building contrary to this act, fhall for every fuch offence forfeit and pay the fum of fifty dollars, to be recovered with cofts of fuit in any court of record within this ftate by any perfon or perfons who fhall fue or profecute for the fame to effect, the one half thereof to the perfon or perfons fo profecuting, and the other half when recovered to the chamberlain of the faid city, for the ufe of the poor thereof.

An ACT to increase the number of Firemen in the City of Albany. Paffed 31 March, 1797. HEREAS it is reprefented by the mayor, aldermen and commoninfufficient for the faid city, and that an increafe will be highly beneficial: Therefore,

BE it enacted by the People of the State of New-York, represented in Senate and Afembly, That it fall and may be lawful to and for the mayor, aldermen and commonalty of the faid city, in common council convened, to increafe the number of firemen which have been appointed in purfuance
