Powers and privileges.

How new members may

be elected.

First meeting, how called.

SECT. 2. Said corporation is hereby vested with all the rights, privileges and immunities incident to similar corporations, may have and use a common seal, prosecute and defend suits at law, make and establish such by-laws, not repugnant to the laws of this state, as may be necessary for the management of their affairs, may take and hold real and personal estate that they now possess or which they may hereafter acquire, by gift, devise, purchase or otherwise, the annual income of which shall not exceed five thousand dollars.

SECT. 3. At any regular or special meeting of the corporation called for the purpose, new members of said corporation may be elected by a majority of the members of the corporation at the time.

SECT. 4. Any two of the corporators named in the first section of this act may call the first meeting of said corporation by serving upon the other corporators in hand, or by leaving at their last and usual place of abode, a written notice, stating the time and place of such first meeting, which notice shall be served as aforesaid at least least seven days before the time of such meeting.

SECT. 5. This act shall take effect when approved.

Chapter 135.

An Act to amend an act allowing annual stipend to the Waldo and Penobscot Agricultural

Society.

Be it enacted by the Senate and House of Representatives in Legislature assembled, as follows:

SECT. 1.

Section one of chapter one hundred and eight 1870, amended. of private and special laws of eighteen hundred and seventy, is hereby amended by striking out the words "one hundred and thirty" in the fifth line and inserting instead, thereof, the words 'two hundred and fifty,' so that said section as amended, shall read as follows:

'SECT 1. The treasurer of state is hereby authorized and directed to pay to the treasurer of the Waldo and Penobscot Agricultural Society a sum equal to the sum raised by said

Company.

SECT. 4. This company shall have power, by agreement with other persons or person, or bodies corporate, to connect their lines with other lines of telegraph within and without the state.

SECT. 5. Any two of the persons named in this act of incorporation, may call the first meeting of the company, by giving written and seasonable notice thereof to each of their associates.

SECT. 6. This act shall take effect when approved.

Chapter 137.

An Act to incorporate the Frontier Telephone and Telegraph Company.

Be it enacted by the Senate and House of Representatives in Legislature assembled, as follows:

SECT. 1. E. L. Houghton, Nicholas Fessenden, E. W. Gowing, C. P. Allen and M. N. Drew, their associates, successors and assigns, are hereby created a body politic by the name of the Frontier Telephone and Telegraph company, with all the powers, rights and privileges, and subject to all the duties and obligations granted and prescribed by the general laws of this state relating to corporations. Said -may construct corporation shall have the right to locate, construct, maintain and operate lines of telephone and telegraph from some point in the town of Fort Fairfield through Limestone, Caribou, Washburn, Mapleton, Presque Isle, Easton, Castle Hill, Sheridan and Ashland.

SECT. 2. Said company shall have the right within the lines on public limits aforesaid, to locate, construct and maintain and operate its lines upon any public way, bridge, or private lands, but in such a manner as not to incommode or endanger the customary use of such way, road or bridge, with the right to cut down trees, remove obstacles where necessary within the limits aforesaid, except ornamental, fruit or shade trees, and with the power to establish and collect tolls on said line.

SECT. 3. If the land of any individual or corporation is taken under this act and the parties cannot agree on the estimated. damages occasioned thereby, they shall be estimated, secured and paid in the manner provided in case of land taken for railroads.

SECT. 4. The amount of capital stock shall be fixed by Capital stock. vote of the corporation, but not to exceed the amount that may from time to time be necessary for the purposes herein specified, but not to exceed ten thousand dollars, and said. corporation may purchase, hold, sell and convey real estate and personal property necessary for the purposes contemplated in this chapter.

SECT. 5. Chapter 138.

An Act relating to the Presumpscot River Railroad Company.

Be it enacted by the Senate and House of Representatives in Legislature assembled, as follows:

SECT. 1. The purchase made by the Presumpscot River Purchase of Railroad, by the authority of, and in accordance with the pro- River R. R., visions of chapter three hundred of the special laws of eighteen hundred and eighty, and of chapter three hundred and forty-four of the special laws of eighteen hundred and eighty-nine of the real estate, personal property, franchises, easements, rights, privileges and appurtenances of the Cumberland and Oxford Canal Corporation, and its mortgagees, is hereby ratified and confirmed, but expressly subject to all the provisos, restrictions and limitations of chapter two hundred and forty-one of the private and special laws of eighteen hundred and eighty-seven, entitled, "An Act to enable the

CHAP. 139 Cumberland and Oxford Canal Corporation to dispose of a certain portion of the property of the corporation," which provisos, restrictions and limitations are hereby declared to be in full force and effect. Said corporation is authorized to sell or lease its railroad, or any part of its canal property, before or after the construction of its railroad, to any other railroad corporation, which latter corporation is hereby authorized to enter into such contract of sale or lease. The directors of the two corporations may enter into such contracts for running the road, or for the purchase, sale or lease thereof as they may deem best for the interest of their respective corporations, to be made subject to the approval of a majority of the stock in each corporation.

SECT. 2. This act shall take effect when approved.

Chapter 139.

An Act to amend section two of chapter five hundred and seventy-four, Private and Special
Laws of eighteen hundred and fifty-six, entitled "An Act to incorporate the Kendall's Mills
Village Corporation."

Be it enacted by the Senate and House of Representatives in Legislature assembled, as follows:

Section two of said act is hereby amended by striking out 1856, amended. the word "and" in the eleventh line thereof, and adding to said section at the end thereof, the following words: and for constructing and maintaining public sewers within said corporation limits,' so that said section as amended, shall read as follows:

'SECT. 2. Said corporation is hereby authorized and vested with the power at any legal meeting called for the purposes to raise money to defray the expenses of a night watch, of a police, and all other necessary measures, for the better security of life and property, and for the promotion of good order, and the observance of the laws within its limits; for purchasing and keeping in repair engines and other apparatus for the extinguishment of fires, for the construction of reservoirs and aqueducts to supply water; for the erection and keeping in repair suitable engine houses; for organizing and maintaining an efficient fire department; for ringing the
