The Secretary:

Mr. President, I also move that the retiring President, the Secretary of the Executive Committee and the Secretary of the Association comprise a committee to compile and print the proceedings of this meeting, as authorized by the Constitution.

Thomas F. Wilkinson, of Albany:

Mr. President, I desire to offer a resolution:

"Whereas, The purpose of this Association is to cultivate the science of jurisprudence, promote reform in the law, facilitate the administration of justice, elevate the standard of integrity, honor and courtesy in the legal profession, and to cherish the spirit of brotherhood among the members thereof,'

'Resolved, That such purpose can more fully be accomplished by closer affiliation of all local bar associations in the State with this Association, and the formation, with the co-operation of this Association, of local bar associations, so far as practicable, in counties where none exist; and

"Resolved, That the members of this Association residing in such counties be, and are hereby, requested and urged to co-operate with the Executive Committee, so that action may be taken to thus more effectually promote the said purpose of this Association."

I would say that in talking with several members of our local Bar Association, it seemed to be thought advisable to

call this subject to the attention of the State Association. There are, I understand, but four or five local bar associations in the State. We have some 14,000 or more lawyers in the State. This Association and its membership comprise apparently a small number of the whole, to effectually accomplish the splendid object stated in the Constitution, and, as I have incorporated here, it seems to me, if we can more closely associate with us the local bar associations now in existence, in Erie, New York, Monroe and some other counties, by some sort of representation in the State Bar Association, or by bringing them more closely in touch with us in the accomplishment of the various propositions or projects of this Association, we would in a great measure more effectually accomplish the object the State Association has in view. In many counties it would be practicable. The members of this Association resident in counties where there is no bar association should co-operate with the State Bar Association in bringing about the formation of local Associations. The good purpose that might be accomplished in that way would be to bring to the attention more completely than is now possible the matters which the State Association proposes and desires to accomplish, either for the benefit of the community or the furtherance of the interests of the profession, and if local Associations were larger in number they would furnish, as it were, feeders to the State Bar Association, the parent organization, and be better enabled, by closer relation with the great mass of the profession, to help carry out the work of law reform and other excellent propositions which the State Association is interested in accomplishing. It seems to me there can be no objection to this resolution, which serves the purpose at least of bringing to the attention of the membership the purpose expressed therein, and I trust that it will be adopted.

The Secretary:

I think the resolution is quite in touch with section 5 of our articles of incorporation.

Louis M. King, of Schenectady:

Mr. President, I desire to give notice of the following amendment to be offered at the next annual meeting of the Association, which is signed by ten members of the Association, as provided by the Constitution:

"Notice is hereby given that the following amendments to the Constitution of the Association will be offered at the next annual meeting of the Association, to-wit:

Amending section 4 of the Constitution by striking out the word "recording" which precedes the word “Secretary "in the fifth line of said section; and by striking out. the words "a a corresponding secretary" which appear in the fifth and sixth lines of said section.

Amending section 6 of the Constitution by inserting after the semi-colon in the ninth line of said section the words "by-laws may be adopted at any annual meeting of the Association by a majority vote of the members present," and by striking out the word "shall," which appears in the tenth line of said section and inserting the word "may" in the place thereof.

Amending section 7 of the Constitution by striking out the words " and each of whom shall have practised law in this State at least ten years."

Amending section 12 of the Constitution by striking out the words "Executive Committee," in the third line of the second paragraph of said section, and inserting the words" the retiring President, the Chairman of the Executive Committee and the Secretary."

Amending section 13 of the Constitution by striking out the word "recording," in the first line, and adding thereto, after the word "Association" at the end thereof, the words, or the Executive Committee."

Section 14. Eliminate entire section.

Amending section 15 of the Constitution by adding thereto, after the word "Association," at the end of the first paragraph, the words "or the Executive Committee."

Amending section 22 so that is shall read as follows: "This Constitution shall go into effect immediately. It can be amended only by a two-thirds vote of the members present at a meeting of the Association, after notice of the proposed amendment subscribed by at least ten members shall have been given at the next previous meeting, or by service of a written or printed notice of the proposed amendment or amendments on the members of the Association, other than honorary members, by mail, at the postoffice address contained in the last printed report of the proceedings of the Association, or other known address, fifteen days prior to a meeting of the Association, or by serving the same, together with the usual notice given by the Secretary, or the Committee of Arrangements, of a meeting of the Association.
