Constitution of the Public Relations National Section of the National Electric Light Association

Adopted at the forty-fourth Convention of the
Association, Chicago, Illinois, June 1, 1921.

ARTICLE I-NAME

SECTION 1. The name of this organization shall be the Public Relations National Section of the National Electric Light Association.

ARTICLE II-OBJECT

SECTION 1. The object of the Public Relations National Section shall be to advance the interests of the National Electric Light Association by bringing together, into one group, those members of the Association who are especially interested in the promotion of methods for improving relations between the electric light and power utilities and the public, and for the purpose of creating a closer cooperation between the utilities and the investment bankers, the electrical manufacturers, jobbers, and dealers, and labor, and, in general, to consider and report upon all matters referred to the Section by the National Executive Committee of the Association.

ARTICLE III-STATUS

SECTION 1. The Public Relations National Section is a National Section of the National Electric

Light Association organized and governed in accordance with the provisions of National Sections as provided in the Constitution of the National Electric Light Association.

ARTICLE IV—MEMBERSHIP

SECTION 1. No person not a member of the National Electric Light Association shall be eligible to membership in the Public Relations National Section.

SECTION 2. All executive officers of Class A, Class D and Class F members of the National Electric Light Association shall be eligible to membership in the Public Relations National Section.

SECTION 3. All members of the Public Relations National Section shall have the right to vote and hold office in this Section.

SECTION 4. Loss of membership in the National Electric Light Association automatically cancels membership in the Public Relations National Section.

ARTICLE V-OFFICERS AND DUTIES

SECTION 1. The officers of the Public Relations National Section shall be a Chairman, three (3)

Vice-Chairmen and an Executive Committee, which Committee shall consist of the Chairman, the ViceChairman, the retiring Chairman of the Section, the Chairman of the Public Relations Section of each of the Geographic Sections, the Chairman of each Bureau and Committee of the Public Relations National Section, and six (6) members at large, and such other members as may be approved by the National Executive Committee.

SECTION 2. The terms of office of the Chairman and the Vice-Chairman shall be one year each. The terms of office of the six (6) members at large of the Executive Committee shall be two years each, excepting that at the first election three (3) of such members shall be elected for terms of one year and three (3) for terms of two years each. The officers and six (6) members at large of the Executive Committee of the National Section may be eligible

to immediate re-election to the same office.

The Chairman of the Public Relations Section of each of the Geographic Divisions shall automatically become a member of the Executive Committee of the National Section.

SECTION 3. The Chairman of the Public Relations National Section shall represent the Section as a member of the National Executive Committee.

In the event that the Chairman of the Section is unable to attend any meeting of the National Executive Committee, he may appoint a delegate to represent the Section at a regular or special meeting of the National Executive Committee, such delegate to be either a Class B or a Class E member.

SECTION 4. The Executive Committee shall be the governing body of the Section and shall have entire charge of its affairs. Meetings of the Executive Committee shall be held upon call of the Chairman.

SECTION 5. The Executive Committee of the Section shall select four (4) members from its number, whom the President of the National Association shall appoint on the Public Policy Committee, subject to approval of the National Executive Committee and the Public Policy Committee.

SECTION 6. The Chairman shall be the Chief Executive Officer of the Section. He shall preside at all meetings of the Section or of its Executive Committee. In the absence of the Chairman, the Vice-Chairman in order of seniority shall preside.

The Chairman, with the approval of the Executive Committee of the Section, shall name such bureaus and special committees as may seem desirable and he shall appoint the members thereof.

The Chairman, with the approval of the Execu tive Committee of the Section, shall appoint the Chairman of each of the bureaus and committees. such bureaus and committees consisting automatically of the Chairman of each of the corresponding bureaus and committees of each of the Geographic Divisions; and he may, with the approval of the Executive Committee of the Section. appoint such other members of such bureaus and committees as may be deemed necessary.

The terms of office of all bureau and committee members shall terminate at the same time as the term of office of the Chairman by whom they were appointed, unless sooner terminated by the Execu

tive Committee.

SECTION 7. All vacancies occurring in any elective or appointive office in the Section shall be filled by the Chairman, subject to the approval of the Executive Committee.

SECTION 8. Not later than August 15th each year the Executive Committee of the Section shall prepare and present to the National Executive Committee a detailed budget for the estimated expenses of the Section for the year beginning July 1st immediately preceding and ending June 30th next ensuing, and shall also file a detailed statement of the actual expenses of the Section at the end of its administrative year.

SECTION 9. The National Executive Committee. after consideration and approval of the budget, submitted by the Section, will, upon certification of the Chairman of the Section, authorize the Treasurer of the National Electric Light Association to pay the indebtedness incurred by the Section.

The expenditures of the Section shall be limited to appropriations authorized by the National Executive Committee.

ARTICLE VI-ELECTIONS

SECTION 1. The Chairman, three (3) ViceChairmen and members at large shall be elected at the annual convention of the Association by and

from the members of this Section.

SECTION 2. The Section Executive Committee

shall appoint a Nominating Committee consisting of five (5) members, and the Chairman shall announce the names of the members so selected at the first executive session of the annual meeting of the Section. The Nominating Committee, at a subsequent executive session of the Section, shall bring in the names of those recommended by it for the offices to be filled.

SECTION 3. Any member of the Section may make nominations for any of the offices to be filled, which nominations if seconded shall be submitted for voting upon at the same time and in the same manner as those of the Nominating Committee. Whenever there are more nominees than offices to be filled, then in such cases the election shall be decided by ballot. When there is no contest for office the Secretary of the Executive Session may be instructed by viva voce vote to cast a ballot for those recommended by the Nominating Committee.

SECTION 4.-Voting by proxy shall not be allowed.

ARTICLE VII-MEETINGS

SECTION 1. Regular annual Meetings of the Section shall be held at the time and place of the Annual Meeting or Convention of the National Electric Light Association. Special meetings of the Section may be held upon the order of the Executive Committee of this Section.

ARTICLE VIII-QUORUM

SECTION 1. At all meetings of the Section, whether annual or special, twenty (20) members, of which not less than fifteen (15) shall be Class B members, shall constitute a quorum for the transaction of business.

At all meetings of the Executive Committee seven (7) members shall constitute a quorum for the transaction of business.

ARTICLE IX-OFFICIAL ORGAN

SECTION 1. The Official Organ of the Section shall be the monthly Bulletin of the National Electric Light Association.

ARTICLE X-PARLIAMENTARY RULES

SECTION 1.-Roberts' Rules of Order shall be the governing parliamentary law of the Section in all cases not definitely provided for by its Constitution or the Constitution of the National Electric Light Association.

ARTICLE XI-AMENDMENTS

SECTION 1. Amendments to this Constitution shall be offered in writing at any meeting of the Section, and shall be referred, before being acted upon, to a committee, elected by the Section, which shall report at a subsequent meeting of the Section. All proposed changes in and amendments to the Constitution of the Section shall be submitted to the National Executive Committee for approval before presentation for adoption. A two-thirds vote of all members present shall be necessary for their adoption.

SECTION 2. The Constitution of the Public Relations National Section is subject to the Constitution of the National Electric Light Association, and no provision herein contained or any amendment hereafter adopted shall be valid if in conflict with said. Constitution or with any amendment thereto that may hereafter be adopted.

Constitution of the Technical National Section of the National Electric Light Association

Adopted at the forty-third Convention of the Association, Pasadena, California, May 19, 1920.

ARTICLE I-NAME

SECTION 1. The name of this organization shall be the Technical National Section of the National Electric Light Association.

ARTICLE II-OBJECT

SECTION 1. The object of the Technical National Section shall be to advance the interests of the National Electric Light Association by bringing together, into one group, those members of the Association who are technically qualified or especially interested in the theories and application of engineering principles relating to the electric light and

power industry, to the end that opportunity may be given for the study of those principles and the development of the best practices in their application to the industry; to collect and disseminate useful information relating to the production, distribution and utilization of electrical energy; to promote the general adoption of the best methods and practices for attaining these ends, and, in general, to consider and report upon such questions as may be assigned to it by the National Executive Committee of the Association.

ARTICLE III-STATUS

SECTION 1. The Technical National Section is a National Section of the National Electric Light Association, organized and governed in accordance with the provisions of National Sections as provided in the Constitution of the National Electric Light Association.

ARTICLE IV-MEMBERSHIP

SECTION 1. No person not a member of the National Electric Light Association shall be eligible to membership in the Technical National Section.

SECTION 2. All members of the National Electric Light Association shall be eligible to membership in the Technical National Section.

SECTION 3. All members of the National Electric Light Association affiliated with the Technical National Section shall have the right to vote and hold office in this Section.

SECTION 4. Loss of membership in the National Electric Light Association automatically cancels membership in the Technical National Section.

ARTICLE V-OFFICERS AND DUTIES SECTION 1. The officers of this National Section shall be a Chairman, three (3) Vice-Chairmen and an Executive Committee, which Committee shall consist of the Chairman, the Vice-Chairmen, the retiring Chairman of the Section, the Chairman of each of the respective section activities of each of the Geographic Divisions, the Chairman of each Bureau and Committee of this Section, and six (6) members at large, and such other members as may be approved by the National Executive Committee.

SECTION 2. The Chairman, three (3) ViceChairmen, and six (6) members at large of the Executive Committee of this National Section shall be

elected at the Annual Convention of the Association by and from the members of this Section, or in failure of election, shall be appointed by the Presi dent of the National Electric Light Association with the approval of the National Executive Committee The terms of office of the Chairman and the ViceChairmen shall be one year each. The terms of office of the six (6) members at large of the Execu tive Committee shall be two years each, excepting that at the first election three (3) of such members shall be elected for terms of one year and three (3) for terms of two years each. The officers and six (6) members at large of the Executive Committee of this National Section may be eligible to immediate re-election to the same office.

The Chairman of the Technical Section of each of the Geographic Divisions shall automatically become a member of the Executive Committee of this National Section.

SECTION 3. The Chairman, or other duly accredited representative selected by and from the Executive Committee of this National Section, shall represent the Section as a member of the National Executive Committee. Such Chairman, or other duly accredited representative, shall be a Class A, or B, member of the National Electric Light Association.

In the event that the Chairman, or other duly accredited representative, of this National Section is unable to attend any meeting of the National Executive Committee, he may appoint a delegate to represent the Section at a regular or special meeting of the National Executive Committee.

SECTION 4. The Executive Committee shall be the governing body of the Section and shall have entire charge of its affairs. It shall hold meetings upon the call of the Chairman, and seven (7) members shall constitute a quorum.
