ject of its creation; which gift, grant or donation shall be applied to the purpose for which it was given and no other.

Sec. 3. That the shareholders forming such corporation, shall assemble on the first Saturday of March annually, in Elizabethtown or its vicinity. in the county of Hamilton, where the library is kept for the time being. at one o'clock P. M. to transact the necessary business and elect officers: they shall choose a chairman and clerk to peside at the same time, and then proceed to elect by ballot not more than sev en nor less than three trustees, one treasurer and one librarian, with such other officers as they may deem neces ary, and the persons having the highest number of votes shall be elected. Each person elected as a trustee shall before he proceed to execute the duties of said office, take an oath or affirmation faithfully to discharge the same; and all other of ficers of said company shall previous to entering on the duties of their office, give bod to the trustees and their successors in office, with such security as they may require for their faithful performance; and such officers so qualified, shall continue in office one year, and until their successors are chosen and qualified; at which time the members present shall agree on the place where the library shall be kept until their next annual meeting.

Sec. 4. That it shall be necessary to have at least five shareholders present in order to form a quorum for the transaction of business and every question upon which the corporation have power to act, shall be decided by a majority of the votes given Each shareholder shall be entitled to one vote, and may vote by proxy by delegating the power of doing so to some other shareholder in writing; and the directors or a major,ty of them, shall have power to call special meetings of sad shareholders by giving such notice as by the by-laws of said corporation may be requir ed to supply any vacancy in any of the therein described of ficers, occasioned by death or otherwise, until the next annual meeting: Povided, That before any tax shall be laid, on the shares notice in writing of the intention to lay such tax, shall be posted on the door of the building where the library may be kept signed by a majo ity of the directors, at least two months previous to the mee ing at which said tax is to be laid.

Sec. 5 That any member of said society may, at any time withdraw from the same by leaving a written notice with the librarian for the time being; and any person so

withdrawing shall no longer be bound by the rules and regu lations of the corporation.

Sec. 6. That Samuel Bond, John L. Bonham, Thomas Hunt. Isaac Mills and Richard Arnold, be and they are hereby appointed directors, who, together with the other officers of the society for the time being, shall continue in office until the fist annual meeting of the corporation.

This act to take effect and be in force from and after the passage thereof.

Speaker of the Senate.

An Act to provide for laying out and constructing a road from the town of New-Lisbon to the town of Columbiana, in the county of Columbiana.

Sec. 1. Be it enacted by the General Assembly of the state of Ohio, That Benjamin Hanna, Abraham Fox and Ab aham Stouffer, of the county of Columbi ana be and they are hereby appointed commissioners for the purpose of laying out and constructing a road from the town of New-Lisbon to the town of Columbiana in said county.

Sec. 2 That it shall be the duty of the Secretary of state, immediately after the passage of this act, to make known to said commissioners their appointment, and to forward to each of them a copy of the act; and so soon thereafter as may be convenient, it shall be the duty of said commissioners to meet at some time and pace, to be agreed upon by them, and having employed a skilful surveyor chain carriers and marker, to proceed to examine and determine upon the best and most advantageous route for said road, which they are heresy authorized to establish and construct on the nearest and best route from said town of New Lisbon to the town of Columbiana, taking into consideration the quality and situation of the ground for road purposes, the accommodation of the public and the amount of subscriptions which may be obtained on the several routes which may be proposed.

Sec. 3. That the said commissioners or their successors in office, to be appointed as hereinafter provided, shall have power to receive subscriptions, propositions or donations of

land, money or any other property for the purpose of construct ing said road, rom individuals and b dies corporate or politic, to take bonds, notes or other security for the payment of subscriptions, for the performance of such propositions as may be made; to receive deeds or other conveyances of land or other property given for the purpose of constructing said road to sell, convey, or otherwise dispose of lands or other property in such manner as they may deem best for the purpose of effecting the object of the r appointment, to define the manner of constructing said road, and every part thereof, ag eeable to the provisions of this act. to enter into contracts for constructing the same or any part thereof, to decide when any contracts shall be completed, to sue for and recover damages for the non performance of any promise, contract or undertaking, or for any wrong or injury done to, or concerning said road: they shall have power when they may think it necessary to cause any part of the land tax for road purposes, which may be assessed in any township through which said road may be established, provided such part shall not exceed one half of such road tax, to be expended on said road, by making out their order to the trustees and supervisors of highways of such township, for that purpose; which order it is hereby made the duty of such trustees and supervisors to obey: Provided, That any appropriations heretofore made or authorized on the road from Cleaveland to the Ohi river, or on the road from New Lisbon to Little Be ver bridge shall not be affected by the provisions of this act.

Sec. 4. That for the purpose of constructing and keeping in repair such road, the said commissioners or their success ors in office shall be invested with the same power privile ges and immunities as respects procuring the necessary ma terials therefor, or draining the water therefrom, with which supervisors of highways are invested by the "act for opening and regulating roads and highways;" and any person aggrieved shall be entitled to redress in the same manner as is directed in said act.

Sec. 5. That in case any or either of said commissioners should die remove beyond the limits of the county of o umbiana or be unable or refuse to perform the duties by this act required, the commissioners of said county of Columbiana for the time being, at their next meeting after such death or deaths remova, inability or refusal to perform such duties as aforesaid, or at any subsequent meeting, upon no. tice given them thereof, shall proceed to appoint some suita

ble person or persons residing in said county, to fill the vacancy or vacancies, which appointment or appointments they shall immediately notify to such person or persons; and if any person or persons appointed under the provisions of this section shall die, remove out of the county of Columbiana, be unable or refuse to serve as aforesaid, his place, or their places shall ̧ be filled as herein before provided.

Sec. 6. That each commissioner shall be allowed one dollar for each day he may be necessarily employed in performing the duties hereby assigned him, and each surveyor, chain carrier and marker, employed by said commissioners in laying out said road, shall be allowed the same fees as are allowed by the "act defining the mode of laying out and establishing state roads," to be paid out of the treasury of the county of Columbiana.

Sec. 7. That said road shall be laid out sixty-six feet in width, and when finished the ascent or descent shall in no place exceed an angle of five degrees with the horizon.

Sec. 8. That said commissioners shall make returns to the county commissioners of said county of Columbiana, of the field notes, courses and distances of said road, which shall be recorded as is provided in the case of county roads.

An Act to incorporate the La Fayette benefit society of Cincinnati.

Whereas a number of the citizens of this state with the charitable intention of providing for the relief of cases of distress, arising from sickness and disease and for the relief of the widows of their deceased members who may be left in indigent circumstances, have asso iated themselves together under the name, style and title of "The La Fayette benefit Soci ety of Cincinnati"-Therefore, and at their request,

Sec. 1. Be it enacted by the General Assembly of the state of Ohio, That the subscribers to the articles of association or constitution styled the La Fayette benefit Society of Cincinnati,' and all such persons, as now are,

or shall or may hereafter be admitted members of the same, shall be and they are hereby declared to be a body politic and corporate, by the name, style and title of the 'La Fayette benefit society of Cincinnati,' to have perpetual succession, and to be capable to take, hold and enjoy any contributions, dona-. ⚫tions or devices, either real or personal, or mixed, not exceeding ten thousand dollars in amount, and the same from time to time to grant and dispose of for the relief and comfort of such cases of distress and indigence, as are provided for by the constitution aforesaid, and under such rules and regulations as now are or may be provided by the by-laws of the society, and for no other use or purpose whatever.

Sec 2. That the society shall have power from time to time to make, ordain and establish such rules, regulations and by-laws for its government not inconsistent with the constitution and laws of the United States and of this state, and not inconsistent with the charitable objects of the society as set forth in its present constitution, and to appoint such officers for the management of its concerns and funds, as may be necessary to carry into effect the humane purposes of the association, and to require such security from time to time from said officers as may be deemed necessary for the safe keeping of its funds.

This act shall take effect and be in force, so soon as the present constitution of the society shall be put on record in the recorder's office for the county of Hamilton.
